Abstract
Nuo 1970 metų Australijos ir JungtinÄs KaralystÄs bylose (Walker v Wimborne (1976) 137 CLR; Kinsella v Russell Kinsela Pty Ltd (1986) 4 NSWLR 722,730; Brady v Brady (1988) BCLC 20) teismai pripaÅŸino, kad nemokumo atveju bendrovių valdymo organų pareigos akcininkams pereina į pareigas kreditoriams arba iÅ¡sipleÄia ir apima tiek akcininkų, tiek kreditorių interesus. Nors pareiga dabar laikoma pakankamai iÅ¡plÄtota (vis tik diskutuojama ir pasisakoma, kad valdymo organai neturi pareigų kreditoriams), yra svarbių klausimų, į kuriuos atsakymai iÅ¡lieka neaiÅ¡kÅ«s. Å is magistro darbas nubrÄÅŸia gaires pareigos vystymesi (parodant, kad Lietuvoje galima rasti tik kelių autorių darbus, kuriuose aptariama valdymo organų atsakomybÄ kreditoriams) ir analizuoja iÅ¡ jos kylanÄius probleminius klausimus, tokius kaip valdymo organų pareigų kreditoriams atsiradimo momentas, akcininkų ir kreditorių interesų pusiausvyra, kreditoriaus teisÄ pateiki ieÅ¡kinį dÄl direktoriaus pareigų paÅŸeidimo, savalaikis bankroto procedÅ«rų inicijavimas. Since 1976, in cases arising in Australia and United Kingdom (Walker v Wimborne (1976) 137 CLR; Kinsella v Russell Kinsela Pty Ltd (1986) 4 NSWLR 722,730; Brady v Brady (1988) BCLC 20), courts have recognized that upon insolvency, the duties of corporate directors shift from shareholders to creditors, or, at least, expand to include creditors as well as shareholders. Although the duty is now generally regarded as well established principle (although it has been argued that no such specific duty in fact exists because in each of the cases where it has been reffered to, liablity was clearly based on other grounds), there are important aspects of it which remain unclear and the role of the duty in modern law has been questioned. This master thesis outlines the development of the duty (also showing that only few works on the issue may be found among Lithuanian authors and only few cases deal with directorsâ liability to creditors) before going to explore the uncertainties surrounding the duty. These include issues such as whether the duty is a direct or indirect duty, to which creditors the duty should be owed, the extent to which creditors interests are to be taken into account, when the duty arises. To conclude, it does have an important role to play in the modern law if the additional protection it can give creditors is seen to be justified.
