Teismo diskrecijos ribos kontroliuoti sutartinių sąlygų vykdymą ir galiojimą verslo santykiuose

Abstract

Magistro baigiamajame darbe išanalizuoti ir apibrėžti teismo diskrecijos kriterijai ir ribos kontroliuoti verslo subjektų sutartinių santykių vykdymą ir galiojimą. Pateiktos teismo diskrecijos ribų pradžia ir pabaiga, atsakant į esminius šiame darbe nurodytus klausimus. Šiame darbe įvertinti esminiai teismų vertinamieji kriterijai atskirais verslo subjektų ginčų atvejais dėl sutarčių vykdymo ir galiojimo. Darbe taip pat aptariamos galimos teismų praktikos tendencijos ateityje, konkrečiai kalbant apie soft law instrumentų taikymo galimybes, kurios suteikia teisę iš esmės keisti nusistovėjusią teismų praktiką. Atlikus tyrimą nustatytas poreikis šiame darbe išsikeltiems tikslams. Tyrimo metu nustatyti kriterijai leidžia daryti išvadą, kad teismų kontrolė pateisinama pamatinių sąžiningumo, sąžiningos dalykinės praktikos ir bendradarbiavimo principais. Magistro baigiamajame darbe pateikiama teismų pozicija dėl teismo kontrolės ribų padės verslininkams praktikoje įgyvendinti sutartinių nuostatų tinkamą įgyvendinimą ir gynybą ginčų atvejais, tiek teismams sprendžiant ginčus dėl sutartinių sąlygų vykdymo ir galiojimo.

This master thesis analyses and determines the criteria for the discretion of the courts and their limits to control the execution and validity of commercial contracts between business entities. The beginning and the end of the limits of the discretion of the court are given and responses to the essential questions specified in this thesis are also given. The thesis also introduces the courts judgments criteria in individual cases of business disputes concerning performance and validity of contracts. The thesis also introduces the future tendencies of the development of the Lithuanian courts precedents, to notify, the application of soft law instruments, which give the right to change substantially the settled case-law. The research confirmed the overall necessity for the objectives of the thesis. The criteria established in the thesis lead to the conclusion that judicial control is justified by the principles of fairness, fair business practice and cooperation. The position of the courts regarding the limits of judicial control given in the master thesis will help entrepreneurs in practice to implement the proper implementation of the commercial contracts provisions in cases of disputes and for the courts in resolving disputes concerning the fulfillment and validity of contractual conditions.
