Liability Issues in Corporate Groups: Practice of the European Union Member States

Abstract

The master thesis is dedicated to the analysis of liability issues in corporate groups in the EU. General overview of the legal nature of corporate groups is provided to reveal peculiarities of the group structure. The most important aspects of regulation of corporate groups in Member States are also addressed. The concept of the group interest and its vitality for the intragroup liability is discussed. The thorough research is performed regarding national groups’ regulation in three Member States – Germany, France and Italy. The analysis of the national law focuses on the topics that are of great importance for the liability issues: agency problems within the groups, director’s duties in the group context and grounds for liability.
