Pareiga perduoti bendrovės turtą ir dokumentus naujai išrinktam bendrovės vadovui: teisinės problemos

Magistro baigiamajame darbe siekiama identifikuoti ir atskleisti esmines teisines problemas, susijusias su bendrovės vadovo pareiga perduoti bendrovės turtą ir dokumentus naujajam bendrovės vadovui, bei pateikti tokios bendrovės vadovo pareigos sampratą. Darbo rengimo metu buvo atliekama teisės aktų, teisės doktrinos bei teismų praktikos analizę, kuri leido apibrėžti bendrovės vadovo pareigos perduoti bendrovės turtą ir dokumentus naujajam bendrovės vadovui sampratą ir kartu išanalizuoti esmines teisinės problemos, susijusias ne tik su bendrovei padarytos žalos nustatymu, bet taip pat su priverstinio bendrovės likvidavimo taikymo grėsme, bendrovės vadovų įrodinėjimo pareigos paskirstymo taisyklėmis, laikinųjų apsaugos priemonių taikymo institutu bei teisinio reguliavimo stoka, priešingai, nei nemokios bendrovės atveju, kai yra aiškus teisinis reguliavimas.

The aim of the master's thesis is to identify and reveal the essential legal problems related to the obligation of the company manager to transfer the company's assets and documents to the new company manager, and to present the concept of such company manager's obligation. During the preparation of the master's thesis, the relevant legal acts, legal doctrine and case law were analyzed, which allowed defining the concept of the company's manager's obligation to transfer assets and documents to the company manager and at the same time analyze the main legal problems which are related not only to determining the damage caused to the company but also to the threat of forced liquidation, rules on the allocation of the burden of proof between company’s manager’s and to the lack of legal regulation, in contrast to insolvent companies where are clear legal regulation.
