Magistro baigiamajame darbe siekiama išanalizuoti dabar ABĮ 461 straipsnyje įtvirtinto priverstinio akcijų išpirkimo ir pardavimo instituto teorines ir praktines problemas. Pirmojoje dalyje yra aptariamos bendros galimybės pasitraukti iš juridinio asmens dalyvių sąrašo, kurios įtvirtintos Lietuvoje, bei aptariami ir kitų pasirinktų valstybių (Švedijos, Danijos, Suomijos ir Nyderlandų) pavyzdžiai artimi ABĮ 461 straipsniui. Antrojoje dalyje yra koncentruojamasi į teorines ir praktines problemas. Nemaža darbo dalis yra skirta teisingos kainos nustatymo mechanizmui, kaip jis užtikrinamas ir kaip jį būtų galima patobulinti. Atkreipiamas dėmesys į kitas galimas problemas: informavimo, galimų nuolaidų taikymo akcijų paketui, susipažinimo su turto vertinimo ataskaita negalimumu, išlaidų paskirstymo, pasiūlymo pateikimo termino neadekvatumas ir būtinybė stabdyti procesą ginčijant kainą. Siūloma sumažinti nustatytą ribą, t, y. institutą taikyti ne nuo 95 procentų, bet nuo 90 procentų. Atlikus tyrimą yra pateikiami pasiūlymai įstatymų leidėjui kaip būtų galima patobulinti esamą reglamentavimą, kad būtų galima išvengti teorinių ir praktinių problemų ateityje.
The research conducted in this Master’s thesis aims to analyse the theoretical and practical issues of the legal institute of the mandatory squeeze-out and sell-out of shares currently enshrined in Article 46¹ of the Law on Companies. The first part discusses the general avenues for withdrawing from the register of participants of a legal entity established in Lithuania. Furthermore, analogous examples from other selected jurisdictions (Sweden, Denmark, Finland, and the Netherlands) pertinent to Article 46¹ of the Law on Companies are examined. The second part is concentrated on theoretical and practical issues. A substantial portion of the thesis is dedicated to the mechanism for the determination of a fair price, the securing thereof, and potential avenues for its improvement. Attention is also drawn to other potential issues: the provision of information, the application of potential discounts to a block of shares, the preclusion of access to the asset valuation report, the allocation of costs, the inadequacy of the time limit for the submission of an offer, and the necessity to stay the proceedings whilst disputing the price. It is proposed to lower the established threshold, i.e., to apply the legal institute not from 95 percent, but from 90 percent. Upon the execution of the research, proposals are submitted to the legislature regarding the enhancement of the existing statutory regulation in order to preclude theoretical and practical issues in the future.
