Perorientavimas į socialiai atsakingą bendrovių valdymą: tvarumo deramo patikrinimo reikalavimai/Reorientation towards socially responsible corporate governance: requirements for sustainability due diligence

Abstract

The aim of the planned study will be to identify the necessary and sufficient requirements for due diligence in corporate governance to meet the need for sustainability of corporate activities, in the context of the duties of members of the management body, investor involvement, stakeholder interests, value chains, and to propose solutions and legislative policies for a more effective regulation and enforcement of the issues addressed. The study will seek to propose sufficient legal instruments that could be implemented in the company legislation of different countries, including Lithuania, to reorient business from an economic profit orientation to a social benefit orientation. In order to achieve the objective of the study, data collection and data analysis methods will be used to collect and analyse interviews/opinions of corporate governance experts on the implementation of sustainability due diligence policies in different jurisdictions. The study will use a correlation analysis approach in combination with a comparative approach to reveal the correspondence between different corporate governance due diligence practices and the level of implementation of the sustainability policy, as well as to identify more appropriate due diligence requirements in corporate governance. The research will be carried out in several phases, analysing the concept of sustainability in corporate governance, identifying existing due diligence requirements in corporate governance in selected countries, collecting and analysing empirical data on the implementation and enforcement of due diligence policies in different companies, and formulating proposals and recommendations for improving national, supranational and international legal frameworks. Based on the research data, it is planned to prepare a scientific article for publication in the Mykolas Romeris University students' collection of scientific articles and to use the accumulated research material in the preparation of the Master's thesis.
